Data Security Confidentiality Agreement

(this “Confidentiality Agreement”)

This Confidentiality Agreement is a binding and enforceable contract between TRUEWATCH TECHNOLOGY INC PTE. LTD., (hereinafter referred to as "TrueWatch"), the operator of TrueWatch, and the user (hereafter referred to as "you"). TrueWatch provides the products and services available on this website (www.truewatch.com) (hereinafter referred to as the “Service" or the ”Products") and may update the service content from time to time. The latest updates to the Services will be reflected on the relevant product and service description pages of this website and provided to users accordingly.

You acknowledge: By using the Service, you acknowledge that you have fully read, understood, and accepted the entire content of this Confidentiality Agreement, including any sections highlighted in bold and/or underlined. By selecting "Agree" and using the Service, you agree to comply with all provisions of this Confidentiality Agreement.

Confidentiality Agreement Content

1. Scope of confidential information

（1）Behavioral data generated while using the Product;

（2）Relevant data collected from corresponding cloud provider APIs through your consent;

（3）Relevant data collected through your self-installed probes;

（4）Any confidential or proprietary information related to TrueWatch that you obtain while using the Products and/or the Service, including but not limited to TrueWatch's operational data, services, products, business plans, sales plans, technical ideas, technical data, customer lists, business channels, business systems, product designs, operations, forecasts, business opportunities, strategies, advertisement and promotions, and any information related to the personnel of TrueWatch, and any other confidential or proprietary information.

2. Data encryption protection by TrueWatch

All information received and transmitted by TrueWatch will be fully encrypted, and we are committed to use advanced encryption technology to ensure that your data is as secure as possible.

3. Rights, obligations, and responsibilities of both parties

（1）Both parties shall comply to this Confidentiality Agreements, and all laws and regulations related to data protection.

（2）You warrant: All information obtained by TrueWatch through your authorization is lawful and has been obtained with the appropriate consent of the information owner.

（3）You understand and consent:

（a）Confidential content related to this Confidentiality Agreement will be used to assist you in analyzing and diagnosing issues in the cloud computing and enhance your service experience; （b）Due to the need to provide services to you, confidential content related to this Confidential Agreement may be disclosed to third parties deemed necessary by TrueWatch.

（4）Upon termination or expiry of the Service, and subject to your request for data deletion and TrueWatch's approval, TrueWatch will destroy the related data.

4. The confidentiality obligations of this Confidentiality Agreement do not apply in the following:

（1）Information that has been known to the public due to your actions;

（2）Information known to the public through channels other than you, which are not restricted by confidentiality obligations;

（3）Information disclosed due to the compliance with the laws, required by courts or other competent authorities.

Disclaimer

For the use of certain features of TrueWatch, TrueWatch will clearly specify or suggest that you provide an account number or key within the appropriate scope of authority. If you provide an account number or key beyond the specified scope of authority, you will bear all resulting consequences, including but not limited to data exposure, tampering, or other risks. TrueWatch shall not be held liable for any legal responsibility.

You acknowledge: Before you use the relevant features of TrueWatch, you acknowledge that TrueWatch has provided sufficient guidance and clear explanations regarding the disclaimer above. Based on this guidance, you confirm and agree that the terms in the marked sections exempting or limiting TrueWatch's liability are acceptable. You fully understand and have no objections to the above contents.

The final right of interpretation of this Agreement belongs to TRUEWATCH TECHNOLOGY INC PTE. LTD. The validity, interpretation, amendment, implementation, and dispute resolution of this Agreement shall be governed by the laws of Singapore. Any disputes arising under this Agreement shall be resolved in accordance with the laws of Singapore and submitted to the District Court of Singapore for adjudication.
