TrueWatch Billing Center Service Agreement

This TRUEWATCH BILLING CENTER SERVICE AGREEMENT (this “Agreement”) is a binding and valid contract between TRUEWATCH TECHNOLOGY INC PTE. LTD., the operator of the TrueWatch Billing Center (hereinafter referred to as "TrueWatch"), and the user (hereinafter referred to as "you"). TrueWatch provides the products and services displayed on this website (www.truewatch.com) (hereinafter referred to as the "Services") to users and will continuously update the service content. The latest services shall be displayed on the relevant product and service introduction pages of this website and as actual provision to the users.

Article 1 General Provisions

You acknowledge: Before using the Services, you have fully read, understood and accepted the entire content of this Agreement (in particular, those highlighted in bold and/or underlined). By choosing "Agree" and using the Service, you agree to comply to all the provisions of this Confidentiality Agreement.

You agree: TrueWatch has the right to unilaterally change the content of this Agreement and the corresponding service terms and policies at any time, as well as has the right to publish them through any means, such as message push and website announcements without separately notifying you. If you continue to use the Services after the announcement of changes to this Agreement, it indicates that you have fully read, understood and accepted the modified agreement contents, and you will follow the revised terms in using the Services. If you do not agree to the modified service agreement, you should immediately cease to use the Services.

Article 2 Account

（1）Registration

Eligibility for Registration 1.1 You confirm that by completing the registration process or using the Services in any other manner permitted by TrueWatch, you possess full civil rights capacity and full civil conduct capacity as a natural person, legal person or other organization (hereinafter collectively referred to as the “Legal Entity”). 1.2 If you are a minor or a person with limited civil capacity, you do not possess the aforementioned qualifications. You and your guardian shall bear all consequences arising from your improper registration behavior, and TrueWatch reserves the right to cancel (or permanently freeze) your account and seek compensation from you and your guardian.
Registration, Account and Real-name Authentication 2.1 After providing the required information on the registration or activation page, reading and agreeing to this Agreement, and completing all registration or activation procedures—or upon using the platform services in any manner permitted by TrueWatch, you agree to be bound by this Agreement. You may log in to this platform (www.truewatch.com) using the email, phone number, or any other method permitted by TrueWatch that you provide or confirm.

2.2 You understand and agree that once you have completed the registration process on this platform and successfully registered, you have obtained the TrueWatch Billing Center account.

2.3 Currently, the TrueWatch Billing Center permits only one platform account per Legal Entity. Unless required by law, mandated by a valid legal document, or meeting the conditions specified by TrueWatch, you may not transfer, gift, or allow others to inherit your TrueWatch Billing Center account in any manner. Additionally, for any account transfer, donation, or inheritance that meets the specified conditions, TrueWatch reserves the right to require you and/or the transferee, donee, or heir to provide valid documentation and complete the process in accordance with TrueWatch 's procedures.

2.4 You understand and agree that, to ensure the security of the account and transactions, TrueWatch has the right to require you to complete the real-name authentication of the TrueWatch Billing Center account at any time. This may include providing personal information such as an ID card and mobile phone number for individuals, or a business license, unified social credit identifier, and legal representative information for enterprises. Additionally, for certain products or services, TrueWatch may require you to submit further identity details, company information, or business licenses for additional verification or qualification validation. Your account will only qualify for access to the related products or services upon successfully completing these verifications and validations.

（2） Information

When completing the registration or activation process, you must provide and promptly update your information accurately in accordance with legal and regulatory requirements, as indicated on the relevant pages, to ensure it is true, current, complete, and accurate. If TrueWatch has reasonable grounds to suspect that the information you provide is incorrect, false, outdated, or incomplete, TrueWatch reserves the right to send inquiries or requests for correction and may directly delete the relevant data until the suspension or termination of partial or full services provided to you. TrueWatch is not liable for any direct or indirect losses and adverse consequences arising therefrom.
You are required to provide accurate and up-to-date contact information, including your email address, phone number, address, and postal code, to ensure effective communication with TrueWatch or its members. You are solely responsible for any loss or additional costs incurred while using the TrueWatch Services if you cannot be reached through the provided contact methods. It is your responsibility to maintain the accuracy and validity of this information. If any updates or changes are needed, you must comply with TrueWatch's requirements and promptly update or complete your personal or corporate information.

（3） Account Security

You are solely responsible for maintaining the confidentiality of your TrueWatch Billing Center account and password, as well as for all activities conducted under your login credentials. These activities include, but are not limited to, information disclosure, posting, agreeing to terms and conditions, renewing agreements, and purchasing services online. You agree to:

(a) Immediately notify TrueWatch of any unauthorized use of your account or password, or any breach of confidentiality, and authorize TrueWatch to take appropriate actions; (b) Properly log out of the platform at the end of each session using the correct procedure. TrueWatch is not responsible for any loss or damage resulting from your failure to comply with these provisions. Additionally, you acknowledge that TrueWatch requires a reasonable amount of time to respond to your notifications and is not liable for any consequences, including losses, occurring before action is taken.

Unless required by law or judicial order, and with the express consent of TrueWatch, your account login credentials and password cannot be transferred, gifted, or inherited in any manner (except for property rights associated with the account).
You understand and agree that TrueWatch reserves the right to verify the true background and purpose of your use of this platform’s Services. TrueWatch may require you to provide accurate, complete, and truthful information. If TrueWatch has reasonable grounds to suspect that the information you provided is false, that you are involved in fraudulent transactions, or that your actions violate TrueWatch’s website terms and policies, TrueWatch reserves the right to temporarily or permanently restrict some or all functions of the Services associated with your account.
You understand and agree that, for operational and transaction security purposes, TrueWatch reserves the right to temporarily suspend or restrict some or all fund payment functions associated with your account. TrueWatch will notify you via email, in-site message, SMS, or phone call, and it is your responsibility to promptly respond and follow the procedures for appeals and any subsequent actions.
You understand and agree that TrueWatch has the right to inquire into, freeze or deduct your personal information, funds, transactions and accounts on this website as required by and in compliance with the demands of Singapore’s judiciary, administrative, law enforcement and national security agencies (including but not limited to police, Attorney-General’s Chambers, Money Authority of Singapore, courts, customs, tax authorities, security departments, et cetera).

（4）Account Cancellation

TrueWatch reserves the right to suspend or terminate partial or full Services provided to you, or to cancel your TrueWatch account entirely, if you violate Singapore’s laws and regulations or breach of this Agreement.
Cancellation of login name You understand and agree that if you do not log into the platform (www.truewatch.com) using your email, phone number or other recognized methods along with your password for 12 consecutive months, and if there are no Services associated with your account, TrueWatch reserves the right to cancel your login credentials. After cancellation, you will no longer be able to access the TrueWatch Billing Center website.

2.1 You agree and authorize the relevant TrueWatch websites/APPs that, if you engage in fraud, publish or sell counterfeit goods, infringe upon others' legal rights, or commit other serious violations of any TrueWatch terms and policies on any TrueWatch-related website/APP, those websites/APPs have the right to disclose such actions within the TrueWatch network. Consequently, your TrueWatch Billing Center login credentials may be canceled, and once canceled, you will no longer be able to access the relevant TrueWatch Billing Center websites/APPs, and the TrueWatch website/APP services will be simultaneously terminated.

You guarantee not to engage in any actions that harm, damage or may potentially harm or damage the legal rights of TrueWatch, its affiliates and other companies or websites. Such prohibited actions or methods include but are not limited to:

3.1 Violating any service agreements, terms, management standards, transaction rules and other normative content published by TrueWatch.

3.2 Disrupting or attempting to disrupt the fair transaction environment or the normal order of transactions at TrueWatch.

3.3 Using any representation containing the name or brand of TrueWatch in a manner that is misleading to others, or using any names, numbers, domain names, other identifiers (in English, Chinese, or any other language , whether full or abbreviated) that imply or suggest a certain relationship with TrueWatch.

3.4 Engaging in other actions that TrueWatch, based on its reasonable judgment, deems similar in nature to the above or that may pose similar risks. You acknowledge and agree that TrueWatch has the right to terminate the provision of the Services to you if you violate the above provisions, and all related Services will be terminated simultaneously.

Article 3 Corporate Member Features

After completing your account registration at the TrueWatch Billing Center, you can log in to the platform (www.truewatch.com) to enjoy trial features of some Services. Full access to wallet features and premium Services provided by the TrueWatch Billing Center is available exclusively to corporate members.

（1）Application and Activation of Corporate Member

You may apply to become a corporate member at the TrueWatch Billing Center by providing required information such as your company name, business license, and other relevant documents. TrueWatch will review your application and submitted information within 3 business days of receiving your application. You will be notified of the review results through the TrueWatch Billing Center. Approval of your application indicates the successful activation of your corporate membership features.
The TrueWatch Billing Center will issue a monthly bill detailing your consumption for the billing period.

（2）Wallet Feature for Corporate Member

The TrueWatch Billing Center provides a wallet feature for each corporate member, comprising a cash balance and a credit limit. The cash balance reflects the funds you recharge into your account, while the credit limit is determined based on your offline agreement with TrueWatch or assigned by TrueWatch after evaluating your qualifications. This credit limit allows you to use services on credit and settle payments at a later date.
You may use the cash balance and credit limit to purchase the Services from the TrueWatch Billing Center. TrueWatch will settle charges daily based on your usage, deducting the corresponding fees first from your cash balance. If your cash balance is insufficient, the system will deduct from your credit limit. When your cash balance is sufficient to cover the services consumed, no deductions will be made from your credit limit. However, if your cash balance is insufficient, deductions will default to your credit limit, provided you do not exceed the assigned credit limit. Exceeding the credit limit is not permitted for purchasing services from the TrueWatch Billing Center.
The TrueWatch Billing Center will provides a 15-day billing period for consumption amounts within your credit limit. Payment for these amounts will be due 15 days from the date of consumption.
You may recharge your account through client platforms, including but not limited to mobile devices, websites, and third-party payment channels, using the payment methods specified on the recharge page. During recharging, you may also enjoy any applicable recharge discounts offered by the TrueWatch Billing Center (please refer to the Recharge Agreement for details). If your account’s current credit limit is below the credit limit cap, your recharge amount will first be used to fill the gap between the current credit limit and the credit limit cap. Any remaining balance will then be stored in your account as a cash balance.
When both your cash balance and credit limit are exhausted, you will enter a suspended state, and TrueWatch reserves the right to temporarily revoke your eligibility to access or use any unpaid Services purchased on the platform (www.truewatch.com).
When the consumption amount within your credit limit becomes due and remains unpaid, your account will enter a delinquent state. In such cases, TrueWatch reserves the right to take one or more of the following actions: 6.1 Except for the Services fully paid for at the TrueWatch Billing Center, temporarily revoke your eligibility to access or use other unpaid services purchased on the platform. 6.2 TrueWatch reserves the right to issue a notice of contract termination, unilaterally terminate the TrueWatch Services, and demand payment of 20% of the outstanding fees as a penalty for breach of contract. 6.3 From the date TrueWatch issues the notice of contract termination, you shall pay TrueWatch a daily late fee of 0.5% of the outstanding fees until the full amount is settled. 6.4 TrueWatch reserves the right to process, delete, or destroy any data associated with your account on the TrueWatch platform.
Invoice Application Upon receiving the monthly bill detailing your consumption from the TrueWatch Billing Center, you may apply for either a standard or GST-special invoice. Invoices can be issued in the form of an electronic invoice or a standard paper invoice, with the applicable tax rate determined in accordance with Singapore’s tax laws and regulations. To complete the invoice application, you must provide accurate and sufficient billing information.

In addition, you must provide a valid mailing address or email address for the invoice delivery. If you opt for a paper invoice, TrueWatch will mail the invoice to your specified mailing address after processing your application, with postage fees borne by you. If you choose an electronic invoice, TrueWatch will send it to your specified email address upon processing your application.

（3）Corporate Member Pricing Feature for Alibaba Cloud Services/Products

Pursuant to the offline agreement between you and TrueWatch, corporate members can enjoy the exclusive corporate member pricing to purchase Alibaba Cloud Services through the TrueWatch Billing Center (hereinafter referred to as the "Corporate Member Pricing Feature"), as detailed below:

Activation of the Feature To activate the corporate member feature, you must submit your company name, business license, and other required information. TrueWatch will review your application and submitted information within two (2) business days of receipt and notify you of the results through the TrueWatch Billing Center. Upon approval, your corporate member feature will be successfully activated, and TrueWatch will set up a new Alibaba Cloud account for you. This account will be automatically linked to TrueWatch's Alibaba Cloud account, and you may use it exclusively to purchase Alibaba Cloud services at corporate member prices through the TrueWatch Billing Center. You must ensure that your Alibaba Cloud account is not linked to any other Alibaba Cloud accounts, except for TrueWatch’s, without TrueWatch's prior consent. Failure to comply grants TrueWatch the right to sever the link between your Alibaba Cloud account and TrueWatch’s account. Additionally, this restriction applies both at the time of application submission and thereafter. TrueWatch reserves the right to terminate the association if this condition is violated.
Price Composition The corporate member price is composed of the console price plus a service fee, calculated as follows: Corporate Member Price = Console Price + Service Fee • The console price represents the exceptionally favorable rate TrueWatch secures for Alibaba Cloud Services through its long-term strategic partnership with Alibaba Cloud. • The service fee is the fee charged by TrueWatch as compensation for providing you access to the console price.
Charging Standards The TrueWatch Billing Center will apply the corresponding service fee based on the offline agreement signed between you and TrueWatch.
Price Cap Commitment TrueWatch commits that at any time, the corporate member price shall not exceed the price of the same Alibaba Cloud Services provided on the official Alibaba Cloud website (https://www.aliyun.com/). If the console price plus the service fee exceeds the official Alibaba Cloud price, TrueWatch will deduct the service fee so that the corporate member price does not exceed the official Alibaba Cloud price.
Precautions To ensure uninterrupted access to Alibaba Cloud services, you must maintain a minimum balance of 100 CNY in your Alibaba Cloud account throughout the cooperation period. Please note: The consumption amount incurred through the corporate member price feature at the TrueWatch Billing Center for purchasing Alibaba Cloud services will be charged to TrueWatch’s Alibaba Cloud account. The balance in your Alibaba Cloud account will not be deducted by Alibaba Cloud’s official platform for these transactions.

Article 4 Platform Service Usage Terms

To ensure the effective protection of your legal rights while using these Services, you acknowledge and agree to comply with the following rules:

Any instructions you issue to TrueWatch, including but not limited to the following methods, will be regarded as your own instructions and shall be deemed irrevocable and non-cancellable. You shall independently bear responsibility for any results arising from TrueWatch executing the aforementioned instructions, except in cases of gross negligence, willful misconduct, or technical failures attributable to TrueWatch: 1.1 All operations conducted through your TrueWatch account and password. 1.2 All information sent to TrueWatch via the mobile number linked to your account. 1.3 Information sent to TrueWatch through other hardware, terminals, software, identifiers, codes or other account names, whether tangible or intangible, linked to your account. 1.4 Other methods agreed by TrueWatch and you, or or as otherwise approved by TrueWatch.
During your use of the Services, the terms of this Agreement, transaction operation prompts displayed on the page, or notifications sent by TrueWatch to your registered mobile phone (such as SMS or phone calls), collectively constitute the relevant rules governing your use of these Services. By using these Services, you acknowledge and agree to comply with these rules. You further understand and agree that TrueWatch reserves the right to unilaterally modify the Services rules without your prior consent. The applicable Services rules will be those displayed on the page at the time you use the Services or communicated to your registered mobile phone (via SMS, phone call, etc.). Your agreement and compliance with the Services terms are prerequisites for accessing and using the Services.
TrueWatch may notify you about the progress of the Services and provide prompts for the next steps via email, SMS, phone calls, or other methods using your registered contact details. However, TrueWatch does not guarantee that you will receive such notifications in a timely manner, nor does it bear any responsibility for any consequences resulting from delays or non-receipt of such notifications. To ensure smooth progress during the Services process, you are responsible for regularly logging into the TrueWatch platform (www.truewatch.com) to check the status of the Services, conduct necessary transaction operations. TrueWatch shall not be liable for any disputes or losses arising from your failure to: a) Promptly review, modify, or confirm the status of the Services; or b) Submit relevant applications in a timely manner.
You authorize TrueWatch to verify your identity and qualifications with third parties to obtain relevant information about your use of the Services.
Before you start using specific TrueWatch Services, you may be required to sign a separate service agreement with TrueWatch. You may only use the Services after accepting all terms of the service agreement. If you disagree with any part of the service agreement, please refrain from proceeding with further operations.
When you use TrueWatch Services, TrueWatch is entitled to charge service fees based on the corresponding Services fee description, order, and/or related agreement. TrueWatch reserves the right to establish and adjust Services fees, with the specific charges applicable at the time you use the Services. The charges displayed on the TrueWatch platform (www.truewatch.com) or outlined in any other written agreement between you and TrueWatch shall prevail in case of discrepancies.
Important Notice 7.1 Once the TrueWatch Services are activated, charges and deductions for resource usage will continue, even if you do not add new service items or resources, or perform new operations. To avoid service termination, please ensure sufficient funds are available in your account to cover ongoing charges. If you no longer wish to use the Services, you should promptly terminate the Services to stop further charges. 7.2 If your Services are terminated due to arrears, you are still obligated to pay any outstanding fees. TrueWatch reserves the right to impose late fees in accordance with the terms outlined in this Agreement until all outstanding amounts are fully paid.
Complaints and Handling 8.1 During your use of the TrueWatch Services, certain situations described in this Agreement may arise, prompting TrueWatch to take necessary measures, including but not limited to: a) Stopping all or part of the Services, b) Restricting all or part of the Services' functions, or c) Freezing all or part of the account funds. TrueWatch will notify you of such actions through email, in-site messages, SMS, or phone calls and provide instructions on how to proceed with a complaint in accordance with the designated procedures. 8.2 If you apply to TrueWatch to lift the aforementioned restrictions, freezes, or to restore Services through the complaint procedure, you are required to: a) Provide accurate identity verification and relevant supporting materials, and b) Submit any additional information or documents requested by TrueWatch to facilitate the verification process. You acknowledge and fully understand that submitting a complaint does not guarantee that your request will be approved. TrueWatch reserves the right to independently decide, at its discretion, whether to accept or reject your complaint request. 8.3 You understand and agree that if you refuse to provide truthful identification and related information, or fail to pass TrueWatch's verification, TrueWatch reserves the right to freeze the affected account(s) for an extended period, and restrict some or all functions of the associated Services for an extended period.
Third-Party Terms and Relationships 9.1 If you obtain any products or services from third parties through your use of the TrueWatch Services, you may also be subject to the terms and conditions of those third parties. TrueWatch does not intervene in or assume any responsibility for such third-party products or services. Any disputes or issues arising from third-party products or services must be resolved directly with the third party, and this Agreement does not alter or affect your legal relationship with them. 9.2 You acknowledge and agree that all affiliates of TrueWatch are considered third-party beneficiaries of this Agreement. TrueWatch affiliates, including subsidiaries and entities under common ownership, have the right to directly enforce and rely on any provisions of this Agreement that confer benefits upon them. Apart from this, no other third party shall be deemed a third-party beneficiary of this Agreement.

Article 5 Your Rights and Obligations

（1） Rights and Obligations of the User

You have the right to access and use the internet technology and information services provided by TrueWatch. You are also entitled to receive technical support, consultations, and other services from TrueWatch. For detailed descriptions of service content, refer to the relevant product information on the TrueWatch website (www.truewatch.com).
You agree not to use technology or any other means to damage, disrupt, or interfere with this website, TrueWatch’s systems, or the platforms of other TrueWatch customers.
You shall respect the intellectual property rights and other legal rights of TrueWatch and third parties. In the event of illegal actions infringing upon these rights, you agree to protect TrueWatch, its shareholders, employees, partners, and other stakeholders from losses or adverse effects. TrueWatch reserves the right to terminate services to you without refunding payments if you are found to infringe upon its legal rights.
You are responsible for providing accurate and up-to-date contact information to TrueWatch. You shall bear full responsibility for any consequences arising from incorrect or outdated information or the use of an email address with poor security or stability. This includes losses or missed notifications resulting from your failure to receive communications from TrueWatch.

（2） You guarantee

When using TrueWatch Services, you agree to comply with Singapore’s laws and regulations, industry standards, and public morals. You will not use the Services provided by TrueWatch to store, publish, or disseminate the following types of information or content: a) Content that violates Singapore’s laws, regulations, or policies; b) Information that breaches Singapore’s regulations on political propaganda and/or news; c) Content involving classified matters or matters that compromise national security; d) Information promoting superstitions, or containing obscene, pornographic, vulgar content, or material that incites crime; e) Gambling-related content, including gambling with prizes or gambling games; f) Information that violates Singapore’s racial or religious harmony policies; g) Content that disrupts the safe operation of the internet; h) Information that infringes upon the legal rights of others; or i) Any other content detrimental to social order, public security, or public morals. You further agree not to provide convenience for others to disseminate the prohibited content mentioned above. This includes, but is not limited to, actions such as setting up URLs, BANNER links, or any other facilitation methods that enable the sharing or publication of such content in violation of Singapore’s regulations or the terms of this Agreement. TrueWatch reserves the right to suspend or terminate your Services immediately if a violation of this clause is discovered. You are solely responsible for ensuring your content complies with these terms and for any consequences arising from a breach.
When using TrueWatch Services, you agree to comply with: a) The service agreement signed between you and TrueWatch; b) The management regulations, processes, service descriptions, and price descriptions displayed on www.truewatch.com; and c) The terms of the order page you have confirmed and agreed to. This includes, but is not limited to, the following obligations: 2.1 You must make all payments before the due date specified in the relevant agreements or order confirmations. 2.2 You must not engage in actions that damage or attempt to damage network security. This includes, but is not limited to: • Unauthorized access or data breaches; • Distribution of malware or viruses; • Denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks; and/or • Tampering with system configurations or network infrastructure. TrueWatch reserves the right to suspend or terminate your access to the Services and take legal action if you violate one or any of the aforementioned obligations.
You and your affiliates confirm that you are not subject to any trade restrictions, sanctions, or other legal restrictions imposed by any country, international organization, or region. If you violate this guarantee, TrueWatch reserves the right to take corrective measures, including but not limited to: a) Deleting information, b) Suspending or terminating services, and c) Restricting your account from purchasing new products or services, renewing existing services, or accessing certain features. If your actions result in losses to TrueWatch, you agree to fully compensate TrueWatch for such losses.
If the service you use includes downloadable TrueWatch software, TrueWatch grants you a non-exclusive, non-transferable license to use the software solely for personal, non-commercial purposes.

Unless explicitly authorized by TrueWatch or agreed upon in writing, you may not:

a) Copy, modify, publish, sell, or rent any part of the service or the software, or b) Reverse engineer, decompile, or attempt to extract the source code of the software.

Article 6 TrueWatch's rights and obligations

TrueWatch shall provide you with qualified network technology and information services in accordance with the Services you select and the payments you make.
TrueWatch is committed to safeguarding your information by taking appropriate confidentiality measures. TrueWatch will not disclose or authorize third parties to use your information unless: 2.1 Disclosure is required under this Agreement or other service agreements, contracts, or online terms agreed upon between you and TrueWatch. 2.2 Disclosure is mandated by applicable laws and regulations. 2.3 Disclosure is requested by administrative, judicial, or other competent authorities. 2.4 You expressly agree that TrueWatch may provide your information to third parties through written consent or acceptance of relevant service terms. 2.5 Disclosure is necessary to resolve reported incidents or to initiate or respond to litigation. 2.6 Disclosure is required to take reasonable and necessary actions to prevent serious illegal activities or suspected criminal activities. 2.7 TrueWatch provides products, services, or information through third parties. TrueWatch ensures that such third parties are subject to strict confidentiality and data protection obligations when handling your information.
TrueWatch reserves the right to directly deduct the relevant service fees from your cash balance based on your service usage, in accordance with the provisions of this Agreement.
TrueWatch may freeze part or all of the funds in your account under the following circumstances: 4.1 When required by Singapore’s laws, regulations, policies, or legal documents. 4.2 When mandated by competent national authorities. 4.3 Your use of TrueWatch Services is suspected of violating Singapore’s laws, regulations and administrative provisions. 4.4 When TrueWatch, based on unilateral reasonable judgment, believes there are abnormalities in your account operations, fund transfers, et cetera. 4.5 When others mistakenly transfer funds into your account, leading to potential unjust enrichment. 4.6 If a complaint is lodged against you by another party, accompanied by sufficient supporting evidence. 4.7 If TrueWatch identifies other situations, based on reasonable judgment, that may pose a risk to legal or operational security. Upon freezing your account funds, TrueWatch will notify you via email, in-site message, SMS, or phone call, providing instructions on the appeals process. If you appeal is submitted as required and approved by TrueWatch, TrueWatch will immediately lift the fund freeze measures. If you fail to appeal within the specified time, or if your appeal is not approved, you acknowledge that TrueWatch may extend the fund freeze period, or return the frozen funds to the original source account (including but not limited to, bank accounts).

Article 7 Protection of Privacy and Other Personal Information

By agreeing to this Agreement or using the TrueWatch Services, you consent to TrueWatch using and disclosing your personal information in accordance with the following terms:

（1） Login Name and Password

a) When registering an account, you must set a TrueWatch account login name and password to verify your identity. You are also required to set password hint questions and answers for identity verification in case you lose your password. You may only use the account with the password you have set. b) If your password is disclosed, you may compromise your personal identification information and face potential legal consequences. c) If your account or password is at risk of or subject to actual misuse, you must notify TrueWatch immediately. TrueWatch shall not be liable for any consequences arising before action is taken.

（2） Bank Account Information

If the Services require you to provide your bank account information, TrueWatch will strictly adhere to the relevant confidentiality agreements after you provide the necessary information.

（3） Login Records

To ensure the security of your use of the Services and to continuously improve the Services quality, TrueWatch will record and store relevant information about your login and use of the Services. TrueWatch guarantees that such information will not be disclosed to any third party, except as otherwise agreed by both parties, as required by laws and regulations, or to TrueWatch's affiliated companies for legitimate purposes related to service improvement or security.

（4） Advertisement

TrueWatch may compile aggregated, anonymized statistics on user identity data and use or disclose such aggregated data for marketing, sales, and reward purposes. TrueWatch shall make the best effort to ensure that aggregated data will not include personally identifiable information unless you have provided explicit consent.

（5） External Links

This website contains links to other websites. TrueWatch is not responsible for the privacy protection measures of other websites. Users are encouraged to review the privacy policies of any third-party websites they visit through links on TrueWatch. TrueWatch may add business partners or co-branded websites whenever necessary. TrueWatch may disclose this information to authorized service providers and relevant third parties solely for the purpose of delivering the services you have requested or fulfilling the terms of this Agreement.

You further acknowledge and agree that by accepting this Agreement or submitting your personal information to TrueWatch, your data may be transferred from your country to Singapore. This transfer is necessary to fulfill the terms of this Agreement and/or to provide the services you have requested.

If you wish to update, correct, or delete your personal information, you may contact TrueWatch through the designated support channels ([email protected]).

（8） Business Data Ownership and Usage

The data you process, store, upload, download, distribute and otherwise handle through the Services provided by the TrueWatch Billing Center are your business data, and you retain fully ownership of your business data.

TrueWatch will strictly adhere to your instructions when handling your business data and will not use or disclose your business data without authorization unless agreed upon with you, or in compliance with applicable legal or regulatory obligations.

You further agree that TrueWatch may:

Send you customized information or updates about new services via email, phone (including voice calls, faxes, or messages), provided you have indicated that you may be contacted in this manner. You may opt out of receiving such communications at any time by following the instructions provided in the communication or contacting TrueWatch support ([email protected]).
Use your personal information to provide enhanced analytical or statistical functions and, where permissible, use or disclose it for sales or promotional purposes.

Article 8 System Interruption or Failure

TrueWatch shall not be held liable for damages resulting from the system cannot operate normally due to the following circumstances, that makes it impossible for you to access or use various internet services , including but not limited to the following circumstances:

System downtime for maintenance by TrueWatch to ensure the continued functionality and improvement of its services.
Failure or disruptions in telecommunications equipment that prevent data transmission.
Disruptions caused by natural disasters or other extraordinary events beyond TrueWatch’s control, such as typhoons, earthquakes, tsunamis, floods, power outages, wars, or terrorist attacks.
Service interruptions or delays caused by hacking or cybersecurity breaches, technical adjustments or failures by telecommunications providers, platform upgrades or maintenance, or issues originating from banking systems or other third-party providers.

Article 9 Limitation of Liability

TrueWatch is responsible only for liabilities explicitly outlined in this Agreement.
The quality and content of services provided by cooperating units or third-party service providers under this Agreement are the sole responsibility of those units or providers. TrueWatch assumes no liability for their performance or outcomes.
You understand and agree that you are solely responsible for any third-party claims arising from your use of the Services, any violation of this Agreement, or any actions taken under your account. If such actions lead to third-party claims against TrueWatch, its affiliates, employees, clients, or partners, you agree to handle these claims independently, and bear all associated responsibilities, including legal and financial obligations.
To the extent permitted by law, TrueWatch shall not be liable for any indirect, punitive, special, incidental or consequential damages, including but not limited to lost business, revenues, profits, data, goodwill or other economic advantages. This limitation applies regardless of whether the claim arises from breach of contract (including breach of warranty) or tort, and regardless of whether TrueWatch was previously advised of the possibility of such damages. Even if the exclusive remedies provided in this Agreement fail their essential purpose, TrueWatch's liability for such damages is excluded.
Except as otherwise specified in this Agreement or in a separate agreement concerning a specific product or service, TrueWatch's total liability for damages under any circumstances shall not exceed the amount of service fees charged to you for the particular service giving rise to the claim.

Article 10 Entire Agreement

This Agreement comprises the terms set forth herein and any applicable rules or policies directly related to the Services and published on this website (www.truewatch.com). In the event of differing interpretations, the provisions of this Agreement shall take precedence.
The section headings in this Agreement are for convenience purpose only and do not carry any legal or contractual effect.
By accepting this Agreement through actions such as account creation or use of the Services, you confirm that you understand and accept all its components. Once you use the Services, both you and TrueWatch are bound by the terms of this Agreement in their entirety.
If any provision of this Agreement is deemed unlawful, invalid, or unenforceable by a court with jurisdiction, the remaining provisions of the Agreement shall remain valid and enforceable to the fullest extent permitted by law.

Article 11 Trademark and Intellectual Property Protection

Except for third-party products or services, all content on this website, including but not limited to works, images, files, information, materials, structure and page design, is legally owned by TrueWatch or its affiliated companies, including but not limited to trademark rights, patent rights, copyrights and trade secrets. Content owned by third parties remains the property of those respective owners and is subject to their terms of use.

Article 12 Notice Delivery

You understand and agree that TrueWatch may, at its discretion, send notifications to you through website announcements, emails, SMS or regular mail, and TrueWatch will rely on the contact information you provide as complete, accurate and current.
Notifications sent via email or SMS are deemed delivered on the date of sending. Notifications sent by regular mail are deemed delivered five business days after mailing. If a notification is undeliverable due to incorrect or outdated contact information provided by you, it will still be deemed delivered on the date of sending.
Unless otherwise specified in this Agreement or explicitly agreed upon in a separate agreement between TrueWatch and you on the method of notification, any notice you send to TrueWatch shall be delivered using the official contact information, such as the communication address, fax number or email address officially published by TrueWatch. FW will update its official contact information promptly in the event of changes to ensure uninterrupted communication.

Article 13 Applicable Law and Jurisdiction

The validity, interpretation, modification, execution and dispute resolution of the terms of this Agreement shall be governed by the laws of Singapore. Any disputes arising from this Agreement shall be resolved in accordance with the laws of Singapore and submitted to the District Court of Singapore, for adjudication.
