TrueWatch Billing Center User Recharge Agreement

Welcome to using the websites, software and services provided by the TrueWatch Billing Center! Before using the recharge services, please read, understand, and accept the terms of the TRUEWATCH BILLING CENTER USER RECHARGE AGREEMENT (hereinafter referred to as this “Agreement”) carefully. Key provisions are marked in bold and/or underlined for your attention.

By selecting “Agree,” you confirm that you accept and agree to comply with all the provisions of this Agreement.

Scope and Applicability

This Agreement is entered into by:

  1. Corporate Members: Corporate users certified by the TrueWatch Billing Center; and
  2. TRUEWATCH TECHNOLOGY INC PTE. LTD. (hereinafter referred to as "TrueWatch"): The operator of the TrueWatch Billing Center.

The Agreement governs account recharges, consumption at the TrueWatch Billing Center, and the use of its services.

Eligibility

  1. Registration:
  • To use the recharge services, you must first register as a free user of the TrueWatch Billing Center.

  • Once registered, you may apply to be certified as a Corporate Member, which is required to access recharge discounts and certain additional services.

  1. Corporate Membership Benefits:
  • Only Corporate Members are eligible for recharge discounts and promotions, as defined in the applicable service descriptions or promotional terms.

1. Acceptance and Modification of Service Terms

1.1 Before agreeing to this Agreement, please carefully read and fully understand the rules and requirements of the TrueWatch Billing Center, as well as applicable laws governing internet information services in your jurisdiction. You are not authorized to use this platform or its related services unless you have read and accepted all terms of this Agreement. By using, logging in, or performing any related actions on this platform, you acknowledge and agree to be bound by this Agreement.

1.2 The TrueWatch Billing Center reserves the right to update or modify the terms of this Agreement at any time. Users are encouraged to review this Agreement periodically.

  • Any updates to the terms will be announced via website notifications, in-app messages, or email alerts.

  • Unless otherwise specified, changes will take effect immediately after publication.

  • If you do not agree to the changes, you may terminate your use of the services immediately. Continued use after the effective date of updates will constitute your full acceptance of the modified terms.

1.3 By selecting the account recharge services under this Agreement, you confirm the following:

  • You are an individual or representative with the legal capacity to enter into binding contracts under Singapore law.

  • If you are a minor, you must review and agree to these terms under the supervision and consent of your legal guardian.

  • While using the services provided by the TrueWatch Billing Center, you agree to fully comply with and adhere to the terms outlined in this Agreement.

1.4 If you no longer agree with the terms of this Agreement or its modifications, you have the right to terminate your use of the services by following the account cancellation procedures available on the platform.

2. Service Description

2.1 To complete the TrueWatch Billing Center Corporate Member certification process, you must provide accurate and complete corporate information, including but not limited to:

  • Company name,

  • Address,

  • Contact details, and

  • Business license documentation.

Certification must be completed following the steps outlined on the platform. Only certified Corporate Members are entitled to discounts and benefits associated with recharge services.

2.2 The TrueWatch Billing Center actively monitors activities conducted on the platform. If your actions are found to violate applicable laws, regulations, or the terms of this Agreement, the TrueWatch Billing Center may require you to take corrective action and may hold you liable for any damages caused to the platform, including but not limited to financial or reputational losses. TrueWatch reserves the right to seek compensation and pursue legal remedies as necessary.

2.3 All services provided to you by the TrueWatch Billing Center are intended exclusively for use within the TrueWatch ecosystem (i.e., the TrueWatch Billing Center website, software platforms (www.truewatch.com) and any new content or services launched in the future). Attempting to manipulate, extract, or alter service content through malicious or unauthorized methods constitutes a breach of this Agreement. Individuals responsible for such actions will bear full legal responsibility, and the TrueWatch Billing Center will pursue any legal course available by the law.

2.4 By using any specific service within the TrueWatch Billing Center, you agree to:

  • The terms and conditions associated with that service, and

  • Any notices or announcements related to its operation.

2.5 You recognize and accept that certain commercial risks are associated with digital transactions, including:

  • Unauthorized activities conducted by third parties using your account or bank card.

  • Potential financial losses due to fraudulent activities.

While TrueWatch will endeavor to assist in mitigating risks, you agree to bear primary responsibility for pursuing action against offenders.

Risk Mitigation Tip:

TrueWatch strongly recommends enabling multi-factor authentication (MFA) and monitoring account activity to reduce the likelihood of unauthorized access.

3. Acceptance and Modification of Service Terms

3.1 You acknowledge and agree that the TrueWatch Billing Center may offer its platform products and services either free of charge or for a fee. Funds in your TrueWatch Billing Center account are restricted for the purchase of platform services or products and may not be withdrawn, transferred, or used for any other purposes. Pricing for all products and services will be determined by the TrueWatch Billing Center and displayed transparently on the relevant service pages.

3.2 The TrueWatch Billing Center payment system supports account recharges through designated clients, such as mobile devices, websites and authorized third-party payment channels. Users must recharge only through the official recharge platform listed on TrueWatch website or platform. The TrueWatch Billing Center will not be liable for any losses, anomalies, or adverse consequences arising from recharges conducted through unofficial channels. Users assume full responsibility for such activities.

3.3 Recharge discounts are exclusively available to certified Corporate Member of the TrueWatch Billing Center. Users can view account details, including cash balance, purchase history, and consumption records, via the Billing Management page. Information on the cash balance will not be made public.

3.4 Certified Corporate Members of the TrueWatch Billing Center may enjoy discounts on recharges made through designated clients and payment methods displayed on the recharge page. The applicable discount rate will be determined based on the offline/separate agreement between the Corporate Member and TrueWatch.

4. Special Reminders

4.1 Before confirming a recharge, users must carefully verify their account details and the selected operation options (e.g., recharge type). The TrueWatch Billing Center will not be liable for losses arising from entering incorrect account details, misoperation, or misunderstanding the billing method (e.g., recharging the wrong account or choosing the wrong recharge type). Important: Users acknowledge that such errors are solely their responsibility and TrueWatch will not offer compensation or reimbursement in these cases.

4.2 Once a recharge is successfully completed, unless explicitly agreed in writing by TrueWatch, the resulting cash balance is non-refundable under any circumstances and cannot be transferred to any third party outside of the TrueWatch Billing Center. In cases where TrueWatch authorizes a refund or transfer, users must comply with the procedures and rules outlined in TrueWatch’s policies. Any refund or transfer requests must be submitted through the official platform, the processing times and required documentation will be detailed in the published policies.

4.3 To ensure security, the TrueWatch Billing Center reserves the right to set or modify transaction-related settings from time to time, including but not limited to adjusting the transaction limits and changing the permissible the number of transactions. Users acknowledge and accept that such settings or modifications may cause inconveniences to the User's transactions, and users have no objections to this.

4.4 Users acknowledge that unless explicitly required by applicable laws and regulations or explicitly stated in this Agreement, any fee-based services or products purchased by the User are non-refundable, and non-exchangeable for other services under any circumstances.

4.5 Users bear full responsibility for losses or liabilities resulting from their own errors during recharging or consumption. The TrueWatch Billing Center is not liable for such issues, including but not limited to:

  • Account loss, banning, or freezing due to user actions;

  • Property losses from disclosing account passwords to unauthorized parties;

  • Losses or liabilities tied to third-party payment accounts linked to user accounts;

  • Other property losses caused by intentional acts, negligence, or legal violations by users.

4.6 The TrueWatch Billing Center may temporarily or permanently ban user accounts if users Violate Singapore laws or regulations, breach this Agreement, or Disregard platform management rules. During a ban period (until it is unbanned (if applicable)), the User Will have their account balance frozen or deducted in full, will be unable to use the balance for platform transactions, and will not receive a refund of the recharge value at the time.

4.7 If a system malfunction causes inaccuracies in recharges, the TrueWatch Billing Center will adjust records after recovery, provided the user submits valid data and legal evidence.

  • If the credited amount is less than expected due to a malfunction, the platform will compensate the user for the difference.

  • If the credited amount is greater than expected due to a malfunction, the platform reserves the right to recover the over-credited amount from the User.

5. Disclaimer

The TrueWatch Billing Center shall not be held liable for damages if the system cannot operate normally, preventing you from using the services or resulting in the loss of any virtual property under the following circumstances, including but not limited to:

  • During periods of system downtime for maintenance, upgrades or adjustments announced by the TrueWatch Billing Center;

  • Telecommunication systems or equipment failure to prevent data transmission;

  • Due to factors beyond TrueWatch Billing Center’s reasonable control, such as natural disasters (e.g., typhoons, earthquakes, tsunamis, floods), power outages, wars, terrorist attacks, government regulations or control measures, causing operational difficulties for the TrueWatch Billing Center system;

  • Due to hacker attacks, technical adjustments or failures by telecommunications providers, website upgrades, or issues with related third-party platforms or services, resulting in service interruptions or delays in services.

6.1 The TrueWatch Billing Center reserves the right to suspend or terminate the services under this Agreement at any time without prior notice in any of the following circumstances:

  • The User provides false or inaccurate corporate certification information;

  • The user violates any terms of this Agreement.

Additionally, TrueWatch Billing Center may, at its discretion, suspend or terminate part or all network recharge services at any time without prior notice, and to take measures, such as banning account, clearing cash balances, other actions deemed necessary, without being liable for any losses resulting from service suspension or termination in these cases.

6.2 If violations of this Agreement are discovered or reported, the TrueWatch Billing Center reserves the right to review and delete offending content, including but not limited to user information and records, without prior notice, and depending on the severity, to impose penalties on the violating accounts, including but not limited to warnings, account or device bans, feature restrictions, deduction of cash balances. Users will be informed of the resolution.

6.3 Users with banned accounts or features may contact TrueWatch Billing Center customer service or their sales manager for inquiries on the ban duration and can self-unban after the ban period expires. Banned features will automatically resume after the ban period expires. Banned users may submit appeals through the designated TrueWatch Billing Center website. Appeals will be reviewed, and decisions on penalties will be made at the TrueWatch Billing Center’s sole discretion.

6.4 Users acknowledge and agree that the TrueWatch Billing Center reserves the right to take legal actions against any user who violates applicable laws and regulations, or the provisions of this Agreement, and to report such violation to relevant authorities in accordance with applicable laws and regulations. Users will bear all legal responsibilities arising therefrom.

6.5 Users acknowledge and agree to indemnify and hold harmless the TrueWatch Billing Center, its affiliates and partners for any claims, demands or losses, including reasonable attorney's fees, arising from or related to their breach of this Agreement, or actions causing harm to TrueWatch Billing Center or third parties.

7. Effectiveness and Other

7.1 The validity, interpretation, and dispute resolution of this Agreement shall be governed by the laws of Singapore. In the event of a dispute, the parties shall first attempt to resolve it amicably. If negotiation fails, the User agrees to submit the dispute to the District Court of Singapore.

7.2 If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

7.3 If users have questions about any provision, they should stop using the services immediately, and simultaneously contact TrueWatch Billing Center’s customer support at at [email protected] or our customer service hotline at (+65) 6924-1094 for clarification. By proceeding without seeking clarification, users confirm that the TrueWatch Billing Center TrueWatch Billing Center has fulfilled its legal obligation to explain the terms as requested by the User, and the TrueWatch Billing Center has given the User ample time and choice to decide whether to accept the terms enter into this Agreement.
